Terms
Terms
Last updated: 15 October 2026
These terms cover two things: working with AyP Sound on a project, and using this website. We kept them short and plain. Questions? Email [email protected].
1. About these terms
- Who we are
- AyP Sound, run by Juan Pablo Thummler, the Netherlands
- Business register (KvK)
- 84305371
- VAT number
- NL003945021B85
- [email protected]
"We" means AyP Sound. "You" means the business that hires us.
These terms apply to every quote and every project. The quote and these terms together are our agreement. If the quote says something different, the quote wins. Your own general terms don't apply unless we agree to them in writing.
We work with businesses. If you hire us as a private person, these terms still apply, but you keep every right that consumer law gives you.
2. What we do
We make voice-overs and dubs with AI voices, in one or more languages. Juan directs and edits every line by ear and matches it to picture. We don't provide human voice actors unless the quote says so.
3. Quotes and agreement
- A quote is valid for 30 days.
- Our agreement starts when you accept the quote in writing (an email is enough), or when we start work at your request.
- The quote states the scope: languages, length, number of versions, revision rounds, delivery formats, delivery date, and any limits on use.
- Work outside the quote is extra. We tell you the price before we start it.
4. Your materials
You may send us scripts, translations, footage, music, logos, brand guidelines and voice recordings. You confirm that:
- you own them or have permission to use them for the project;
- our use of them for the project does not break anyone's rights or the law;
- scripts and claims in them are your responsibility (for example product, medical or legal claims).
If someone makes a claim against us because of your materials, you cover our costs and damages. We tell you about such a claim quickly, so you can respond.
5. Voice cloning needs consent
For client projects, we only clone a real person's voice with documented, written consent from that person (or from their legal representative). The consent must say:
- that their voice will be cloned with AI, using an AI voice provider;
- that the voice can say lines they never recorded, in languages they may not speak;
- which project, media, languages and period it is for;
- how they can withdraw it.
You get that consent, and you make sure talent, agency or union contracts allow it. We may ask to see it before we start. For a client project, we don't clone the voice of a public figure, or of a child, without written proof of rights.
A voice clone made for you stays private. We never use it for anyone else.
If the voice owner withdraws consent, we stop making new work with that voice and delete the voice model. What happens to work already delivered depends on the agreement between you and the voice owner.
We may refuse or stop work that uses a voice without proper consent, or that could mislead people about who is speaking.
6. AI voices and disclosure
The voices we deliver are made with AI, then directed and edited by a person. We tell you which parts are AI-generated.
Some laws require telling your audience that a voice is AI-made. One example is the EU AI Act, for realistic AI voices of real people. You publish the work, so you make that disclosure where it is required. We help with wording and with labels in the files on request.
AI voices and AI translation can contain mistakes, like a wrong pronunciation or a missed nuance. That's why you check and approve the final work before you publish it.
7. Scripts, translations and approval
- Before we produce, you approve the script and each translation.
- We translate with AI tools, and a native-speaking creative checks every language before it reaches you. Need a certified translation? Ask, and we'll quote it.
- Changing an approved script counts as extra work.
8. Revisions
The quote says how many revision rounds are included. If it doesn't, two rounds are included per language. A revision is a change within the approved script and brief: timing, emphasis, tone, pronunciation, level. A new script, a new brief or a new language is new work, and we quote it first.
9. Delivery and turnaround
- The quote gives the delivery date. It depends on you sending materials, approvals and feedback on time.
- Delivery dates are targets, unless we agree in writing that a date is a fixed deadline.
- Check each delivery and tell us within 10 working days if it doesn't match the approved script or brief. After that, the delivery counts as accepted.
10. Price and payment
- Prices are in euros and exclude VAT, unless the quote says otherwise.
- We invoice on delivery, unless the quote sets a different schedule.
- Please pay within 30 days of the invoice date.
- If payment is late, we may charge the Dutch statutory interest for business payments (wettelijke handelsrente) and reasonable collection costs. We may also pause work until the invoice is paid.
11. Usage rights
Once you have paid in full, you may use the delivered work for the use agreed in the quote. If the quote sets no limits, you may use it worldwide, in any medium, with no time limit, for the project it was made for.
- Limits in a voice owner's consent always apply on top of this.
- Stock voices from our AI providers are not exclusive to you. Other people can use the same voice.
- We keep the rights to our tools, methods, templates, unused takes and our own voices.
- The law on copyright in AI-made output is still developing. We pass on to you whatever rights we hold in the delivered work, as described above.
- Until you have paid, you may not use the work, except to review it.
Once the work is public, we may show it in our portfolio and on this website. Tell us in writing if you'd rather we didn't.
12. Confidentiality and data
We keep your unreleased materials, scripts and business information confidential. We share them only with the tools, providers and native-speaking creatives we need to do the work, listed in our privacy page. We sign a separate non-disclosure agreement on request. Please keep our quotes and working files confidential too.
When we handle personal data for you, such as your staff's voices, we do so as your processor and only on your instructions. We sign a data processing agreement on request.
13. Liability
- Our total liability for a project is limited to the amount you paid us for that project, excluding VAT.
- We are not liable for indirect loss, such as lost profit, lost revenue, missed deadlines with third parties or damage to reputation.
- We are not liable for how you use or publish the work, or for a disclosure you were responsible for and didn't make.
- These limits don't apply if the loss is caused by our intent or deliberate recklessness.
- Any claim must reach us in writing within 12 months after you found, or could have found, the problem.
14. Delays and stopping
Things outside our control can delay work. Examples: illness, power or internet failures, or an outage at an AI or cloud provider. We tell you as soon as we know, and we agree a new date. If the delay lasts more than 30 days, either of us may end the project. You then pay for the work done so far.
You can cancel a project at any time. You pay for the work done up to then, and for costs we can't cancel.
We may stop a project if you don't pay an overdue invoice after a reminder, or if a voice is used without proper consent.
15. Using this website
- The text, videos, design and code on aypsound.com belong to AyP Sound or are used with permission. Please don't copy, download or reuse them without asking.
- The original films, brand names and trademarks shown on this site belong to their owners.
- Some visuals on this site are machine-generated.
- Rights holders who want a piece removed can email [email protected]. We take it down quickly.
- We do our best to keep the site accurate and online, but can't promise it always is. Links to other sites are not our responsibility.
- How we handle visitor data is on our privacy page.
16. Law and disputes
Dutch law applies to these terms and to every agreement with us. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply. We'd always rather talk a problem through first. If that fails, the competent court in the district where AyP Sound is registered decides, unless the law says otherwise.
17. Changes
We may update these terms. The version that applies to a project is the one in force on the date of its quote. The date at the top shows the latest version.
